Members are hereby informed that the Company has on 19th July, 2010 completed the dispatch of a Notice under Section 192A of the Companies Act, 1956, along with the Explanatory Statement, Postal Ballot Form and a pre -paid self addressed reply envelope in relation to passing of a Special Resolution under Section 17 for amendment in the object clause of Memorandum of Association of the Company, under Section 49 (2A) for commencement of new business and under Section 81(1A) for further issue of Capital.

The Board of Directors of the Company has appointed Mr Prashant Diwan, a Practicing Company Secretary, as the Scrutinizer for conducting the Postal Ballot in a fair and transparent manner.  Members are requested to note that the Postal Ballot Form duly completed and signed should reach the Scrutinizer not later than the close of working hours on Saturday, the 21st August, 2010.  All Postal Ballot Forms received after the said date will be treated as if reply from such Members has not been received.

A Member may request for a duplicate Postal Ballot Form, if so required.

The voting rights of Members have been reckoned on 30th June, 2010.

A person who has become a Member after 30th June, 2010, but on or before 19th July, 2010 may obtain the Postal Ballot Form from the Company and vote on the Resolution by Postal Ballot.
